Terms of Use
1. Agreement
By creating an account or using Prophait (the "Service"), you agree to these Terms of Use on behalf of yourself and, if you create or join a company workspace, the organization you represent. If you do not agree, do not use the Service.
2. The Service
Prophait provides browser-based project-scheduling software: schedule editing, critical-path computation, earned-value and schedule-health analytics, file import/export, optional integrations (such as Jira), and an optional AI assistant. During the pilot all features are available free of charge; published pricing describes plans that take effect at commercial launch.
3. Accounts and workspaces
- You are responsible for the accuracy of your account information and for keeping your credentials secure.
- Each company workspace is an isolated tenant. The first member of a workspace becomes its administrator and controls invitations and roles.
- You must have the authority to bind the organization whose workspace you administer.
4. Your data
- Schedules, resources, and other content you upload remain yours. You grant us the rights needed to host, process, back up, and display that content to your workspace's members — nothing more.
- Workspaces are logically isolated per organization and enforced at the database layer.
- We back up service data on a regular schedule and store copies off the host. Backups are provided on a best-effort basis; maintain your own exports (MSPDI/XER export is built in) for schedules you cannot afford to lose.
- If you connect your own API keys (for example an Anthropic key for the assistant, or a Jira API token), those keys are stored encrypted, are used only to provide the feature you connected them for, and can be removed by you at any time. Usage of third-party services through your own keys is billed by those providers under their terms.
5. Workspace inactivity
To keep the pilot infrastructure healthy, dormant workspaces are reclaimed:
- If no member of a workspace signs in for 60 days, we send a warning to the workspace's administrator email addresses.
- If the inactivity continues for 30 further days after that warning (90 days total), the workspace and its data are permanently deleted.
- Any member signing in resets the clock. A deletion under this policy is not recoverable, so keep exports of anything you may want later.
6. Acceptable use
- No unlawful use, no attempting to breach another tenant's isolation, no probing or disrupting the Service, and no reselling access without our written agreement.
- Fair use applies: the Service is designed for realistic program schedules, not for use as bulk generic storage or a load-testing target.
- You are responsible for ensuring the data you store complies with the export-control and regulatory obligations that apply to you. The pilot's shared environment is not represented as meeting ITAR or similar hosting requirements — contact us about the Compliance tier for isolated deployments.
7. AI assistant
The assistant proposes and applies schedule edits using the same audited, undoable operations as a human user, but its output can be wrong. You are responsible for reviewing changes to your schedule; the assistant's output is not professional scheduling, legal, or financial advice.
8. Third-party services
Integrations (for example Jira) depend on third-party services we do not control. Their availability, conduct, and terms are theirs; a change on their side may limit or break an integration without notice.
9. Disclaimer of warranties
The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, availability, and accuracy of computed results.
10. Limitation of liability
To the maximum extent permitted by law: (a) neither Prophait nor its operators are liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, lost schedules, lost data, or business interruption, even if advised of the possibility; and (b) our total aggregate liability for all claims relating to the service is limited to the greater of the amounts you paid us in the twelve months before the claim and one hundred US dollars (USD 100).
Some jurisdictions do not allow certain limitations; in those, the above applies to the fullest extent permitted.
11. Termination
You may stop using the Service and delete your workspace at any time. We may suspend or terminate access for breach of these terms, for legal reasons, or upon winding down the pilot — in the last case we will make reasonable efforts to give notice and a window to export data.
12. Changes
We may update these terms as the Service evolves; the effective date above will change and material changes will be announced on the site or by email. Continued use after a change is acceptance of the new terms.
